Terms & Conditions

§1 Scope

(1) These Terms & Conditions (T&C) apply to all contracts, deliveries, and services between AlpinaBioTech GmbH, (hereinafter “Seller”) and its customers.

(2) Conflicting or deviating terms of the customer shall not apply unless expressly accepted in writing by the Seller.

§2 Subject Matter

(1) The Seller distributes laboratory products, in particular ELISA kits, for research use only (RUO).

(2) The products are not intended for diagnostic or therapeutic purposes. The customer is obliged to comply with this restriction.​

§3 Contract Formation

(1) Product information on the website does not constitute a legally binding offer, but an invitation to submit a purchase request.

(2) A customer order constitutes an offer to conclude a purchase contract.

(3) The contract is only concluded upon written or electronic order confirmation by the Seller.

§4 Prices and Payment

(1) All prices are in EUR, excluding applicable VAT and shipping costs.

(2) Payment is generally due in advance (prepayment) unless otherwise agreed in writing.

(3) Invoices are payable within 30 days of issue.

§5 Delivery, Shipping, and Transfer of Risk

(1) Delivery is made EU-wide via reliable courier or logistics providers engaged by the Seller.

(2) Delivery times are non-binding unless a fixed date has been expressly confirmed in writing.

(3) Risk of accidental loss passes to the customer upon handover of the goods to the courier.

§6 Retention of Title

The delivered goods remain the property of the Seller until full payment has been received.

§7 Warranty

(1) The Seller warrants that products are free from material and manufacturing defects at the time of delivery.

(2) The statutory warranty period is 12 months from delivery.

(3) The Seller assumes no liability for improper storage, handling, or use of the products by the customer.

§8 Liability

(1) The Seller is liable without limitation for intent and gross negligence.

(2) In cases of simple negligence, liability is limited to damages arising from injury to life, body, or health, and for damages caused by the breach of essential contractual obligations (cardinal duties).

(3) Liability for indirect damages, lost profits, or consequential damages is excluded to the extent legally permissible.

§9 Returns and Withdrawal

(1) No right of withdrawal under consumer protection law applies, as the products are intended exclusively for commercial customers.

(2) Returns are only accepted in cases of incorrect delivery or proven quality defects. Such cases must be reported within 7 days of receipt of goods.

§10 Data Protection

The processing of personal data is carried out in accordance with our Privacy Policy.

§11 Governing Law and Jurisdiction

(1) German law applies, excluding the UN Convention on Contracts for the International Sale of Goods (CISG).

(2) Exclusive place of jurisdiction for all disputes shall be the registered office of the Seller, where legally permissible.
